These Terms & Conditions apply to all coaching, mentoring, career strategy, career transition and related professional services provided by Sohini Das through this website or under a separate engagement with an individual or organisation.By purchasing, booking or participating in any service, the Client acknowledges and agrees to these Terms & Conditions.


1. Scope of Services

The Coach provides career coaching and mentoring services to individuals and organisations. Depending on the objectives of an engagement, services may include:

  • Career growth and career development
  • Career change and transition
  • Career strategy and goal-setting
  • Identification of skill or experience gaps
  • Job-search strategy
  • CV and LinkedIn positioning
  • Interview preparation and mock interviews
  • Executive presence and professional positioning
  • Stakeholder management
  • Support through career transitions
  • Other career-related coaching, mentoring or developmental support as mutually agreed

The specific services, deliverables, number of sessions, duration, format and fees applicable to an engagement will be communicated and agreed before the engagement begins.

For organisational engagements, the scope, deliverables, timelines and fees may be documented separately in a proposal, statement of work or engagement letter.

Any services requested outside the agreed scope will be discussed and agreed separately.


2. Nature of Services

The services provided by the Coach are career coaching and mentoring services, designed to support individuals and organisations in areas relating to career growth, career change, career strategy, professional development and related workplace goals.

Career coaching and mentoring are collaborative, developmental services. Depending on the agreed scope, the Coach may provide frameworks, questions, perspectives, relevant professional experience, feedback, challenge, guidance, tools and practical resources to support the Client in reflecting on their goals, making informed career decisions and taking action.

What the services are

The services are intended to provide structure, perspective, practical guidance and support around the Client’s agreed career or professional objectives.

The Coach may draw upon professional experience in business, marketing, leadership and careers where relevant to the engagement.

What the services are not

The services provided by the Coach are not:

  • psychological counselling, psychotherapy or mental health treatment
  • medical, psychiatric or healthcare services
  • legal advice or legal representation
  • financial, investment, tax or accounting advice
  • recruitment or employment agency services or
  • any other regulated professional service requiring a specific professional qualification, unless expressly stated otherwise

Coaching and mentoring may sometimes involve discussion of personal experiences, workplace challenges, confidence, motivation or other matters that have an emotional dimension. However, the Coach does not diagnose, treat or provide clinical support for mental health or medical conditions.

Where a Client feels that specialist medical, psychological, legal, financial or other professional advice would be appropriate, they are encouraged to seek support from a suitably qualified professional.

Coaching, mentoring and consulting

Coaching and mentoring may include practical guidance informed by the Coach’s professional experience. This does not, by itself, constitute a consulting, advisory or other regulated professional relationship.

Where an individual or organisation specifically engages the Coach for consulting, advisory, training, facilitation or other professional services outside the scope of coaching and mentoring, the nature, scope and deliverables of that work will be agreed separately in writing.


3. Clien’t role

Coaching is a collaborative process. The Coach brings structure, perspective, relevant professional experience, thoughtful challenge and practical guidance, while the Client brings their own goals, context, experiences and decisions to the process.

The value of coaching comes from the Client’s active participation and willingness to reflect, explore options and take action between and beyond sessions.

The Coach’s role is to support the Client in gaining clarity, strengthening their career strategy, exploring possibilities and making informed decisions. The Coach does not make career decisions on the Client’s behalf.

Career outcomes can be influenced by a range of factors, including the Client’s choices and actions, employer decisions, recruitment processes, market conditions and circumstances outside the Coach’s control. Accordingly, while the Coach is committed to providing thoughtful and practical support within the agreed scope of the engagement, a particular employment, promotion, compensation, career transition or other professional outcome cannot be assured.

The coaching relationship is intended to support progress towards the Client’s goals; the Client retains responsibility for the decisions they make and the actions they take during and following the engagement.


4. Duration and Format

Each engagement will have a predetermined scope and duration, communicated to the Client at the time of booking or commencement.

Sessions may be conducted online or in person, depending on the engagement.

For organisational engagements, the format, duration, participants and delivery arrangements will be agreed as part of the relevant engagement.

5. Fees and Payment

Fees for services will be communicated to the Client before the engagement is confirmed.

Unless otherwise agreed in writing, payment is required in full before the commencement of the relevant programme, service or session.

An engagement is considered confirmed once payment has been received or, in the case of an organisation, once the agreed commercial terms have been accepted.


6. Rescheduling and Attendance

The Coach and Client are requested to respect the time reserved for each session.

A minimum of 48 hours’ notice is requested for any request to reschedule a session.

Where less than 48 hours’ notice is provided, or where a Client does not attend a scheduled session, the session may be considered delivered and may not be available for rescheduling.

The Coach understands that unexpected circumstances can arise and may, at their discretion, make exceptions in the event of a genuine emergency or exceptional circumstance.

If the Coach needs to reschedule a session due to unforeseen circumstances, an alternative date and time will be offered.


7. Refund and Cancellation Policy

As coaching and mentoring engagements involve reserved time, preparation and knowledge-based services, payments are non-refundable once an engagement has been confirmed and payment has been made, except where otherwise required by applicable law or expressly agreed in writing.

This includes circumstances such as:

  • a change of mind;
  • a change in personal or professional circumstances;
  • schedule conflicts;
  • non-attendance or partial attendance;
  • dissatisfaction following delivery of a service or session; or
  • a decision not to continue with the engagement.

Where appropriate, Clients may request rescheduling in accordance with the provisions above.

For organisational engagements, any cancellation terms specifically agreed in a proposal, statement of work or engagement letter will apply to that engagement.


8. Client Responsibilities

Clients are encouraged to:

  • attend scheduled sessions punctually;
  • participate openly and honestly;
  • complete any agreed preparation, reflection or assignments;
  • communicate proactively if circumstances, goals or priorities change; and
  • take an active role in their own development and career decisions.

The Coach provides guidance, perspective, challenge and support, while the Client retains responsibility for their own decisions and actions.

For organisational engagements, the organisation is responsible for ensuring that participants understand the agreed scope and any relevant requirements of the engagement.


9. Confidentiality

Information shared by an individual Client during coaching or mentoring sessions will be treated as confidential and will not ordinarily be disclosed to third parties without the Client’s consent, except where disclosure is required by law or where an applicable exception to confidentiality arises.

For organisational engagements, the extent and terms of confidentiality will be agreed as part of the engagement, particularly where the organisation sponsors or pays for services provided to individual employees or participants.

The Coach may use anonymised, non-identifiable information about an engagement for professional learning, development or portfolio purposes where it cannot reasonably identify the Client or participant.

Confidentiality does not apply where disclosure is required by applicable law, court order or regulatory authority, or where disclosure is reasonably necessary to address an imminent risk of serious harm.


10. Intellectual Property

All original frameworks, materials, worksheets, exercises, templates, session designs and other resources created or provided by the Coach remain the intellectual property of Sohini Das, unless otherwise agreed in writing.

These materials are provided for the Client’s personal or organisational use within the scope of the relevant engagement.

Clients are requested not to copy, reproduce, republish, resell, distribute or commercially exploit these materials without prior written permission.


11. Data And Privacy

Personal information collected in connection with the provision of services will be handled in accordance with applicable Indian data protection and privacy laws

The Coach will take reasonable steps to protect information shared by Clients. Where third-party platforms are used for scheduling, communication, payment or delivery of services, those platforms may also have their own terms and privacy policies.

12. Limitation of Liability

The Coach will provide the services with reasonable care and professional diligence.

The Coach cannot accept responsibility for decisions or actions taken by a Client, or for outcomes arising from circumstances outside the Coach’s reasonable control.

To the fullest extent permitted by applicable law, the Coach’s total financial liability arising from or in connection with an engagement will not exceed the total fees actually paid by the Client for that engagement.

Nothing in these Terms & Conditions is intended to exclude or limit any liability that cannot lawfully be excluded or limited.


13. Termination

Either the Client or the Coach may discuss ending an engagement where circumstances change or the engagement is no longer appropriate.

The Coach may end an engagement where there has been serious or inappropriate conduct, including threatening, abusive or unlawful behaviour, or a material breach of these Terms & Conditions.

Where an engagement ends, any fees already paid will be treated in accordance with the applicable refund and cancellation provisions above, unless otherwise agreed in writing or required by applicable law.


14. Website and Third party services

The website may contain links to or use third-party platforms and services, including video conferencing, scheduling and payment platforms.

The Coach is not responsible for the availability, security, content or policies of third-party platforms. Use of such platforms may also be subject to their own terms and privacy policies.


15. Changes to these terms

These Terms & Conditions may be updated from time to time to reflect changes to the services, website or applicable requirements.

The version published on this website will apply to future engagements. Where an existing engagement is governed by separately agreed written terms, those terms will continue to apply to that engagement unless otherwise agreed.


16. Governing law

These Terms & Conditions are governed by the laws of India.

Any dispute arising in connection with these Terms & Conditions or the services provided will be subject to the jurisdiction of the courts of Mumbai, Maharashtra, unless otherwise required by applicable law.
